Dividend Policy & Payment

The Architects & Turnkey Public Company Limited has a policy of paying dividends to shareholders at a rate of not less than 40% of net profit, based on the separate (unconsolidated) financial statements each year, after deducting corporate income tax and legal and other reserves required by law and the Company's Articles of Association.

The Board of Directors may, however, consider paying dividends at a rate different from this policy, having regard to operating results, financial position, liquidity, investment and future business expansion plans, and other necessary and appropriate factors in managing the Company's capital. Any dividend resolution of the Board must be submitted for approval at the shareholders' meeting, except for an interim dividend, which the Board is authorized to approve from time to time and must report to shareholders at the next meeting.
